Ferozi Tech does not render any services that is unlawful or violates any applicable local state, federal, national or international law, statute, ordinance, or regulation including, without limitation, consumer protection law, Internet tobacco sales, unfair competition, antidiscrimination or false advertising and is associated with any form of adult, sexually oriented, or obscene materials or services, including without limitation, any material clearly designed to sexually arouse the viewer/reader (e.g., books, text, photos, videos, X-rated movies, pornographic materials, etc.), any materials which require individuals to be eighteen (18) or older to view or purchase those materials, escort services, adult websites, websites that render gambling services or can be used for gambling, and websites that advertise, render, offer, or publish information for alcohal and/or vine. Also, Ferozi Tech does not provide services that infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party, including, but not limited to, the unauthorized copying and posting of trademarks, pictures, logos, software, articles, musical works and videos. It is the responsibility of the customer to inform Ferozi Tech pre-engagement of the services of any possible material stated herein else otherwise, Ferozi Tech own's the right to terminate contract due to violation of terms specified above.

1. Ferozi Tech uses reasonable efforts to meet successful completion of every project. It is contemplated by the parties that the final completion and the delivery date shall be in accordance with the design revision and response time involved. However, customer itself acknowledges that any changes or deviations in the specifications, site plan, prototype, graphics, codes, or any other elements of a project, and delays in its responsibilities include delivering Contents, Sitemap, and prompt reviews, comments will lead to the delays on the completion schedule. Such time delays will not be considered segment of project delivery time thus setting Ferozi Tech exclusively free from being responsible of delay in project completion.

2. Customer enters into any contract agreement with Ferozi Technologies Inc., with an order placed online on www.ferozitech.com or via phone, or email, or any other platform, the terms listed herein applies to all of our customers and shall continue until the services provided have been performed customer hereby agrees to abide by, comply with and be legally bound by the policies, the terms of agreement that have been mentioned herein the (TERMS AND CONDITIONS).

3. Ferozi Tech shall not be held responsible in any way on the issues and malsupport by any third party or multiple parties such as but not limited to client's hosting firm, merchant service provider, content service provider, data feed provider.

4. If pre-informed by Ferozi Tech to the customer to provide such information and content; customer will deliver the necessary access information and contents such as but not limited to login credentials of the website hosting, logo design source file, textual, visual, and pictorial content, project plan within 72 hours from the date of signing up. The items described shall include all contents to be utilized for the project including but not limited to textual materials, photographs, sound files, data list records, video files, and other content and links, required to be included in the project as described in the specifications under an agreement supplemental to this agreement, but excluding those items that shall be the responsibility of the Ferozi Tech to create content on its own.

5. Customer is duly informed that if the number of revisions exceeds more than the specified upon revision response time and revision rounds, the project deadline shall not be met if agreed upon and set forth.

6. Ferozi Tech does not provide stock photos. Ferozi Tech does not offer stock buying services but only offers selection of as part of initial sample. Provision of stock photos will be required by the customer.

7. Upon updates, questions, and requested information to the customer, customer agrees to respond for feedbacks and/or required information and shall be provided to Ferozi Tech within 24 to 48 hours of turnaround time in order to ensure deadlines are met, delay in responding to the updates or questions observed on 5 instances, each shall be considered as extension of deadline.

8. Customer once approves a design, layout, feature, functionality, or a document will be subjected to be charged if any modification on the approved work is requested whereas, the modification of the approved work shall also be subjected to addition of time on the project.

9. The project to be designed and/or developed and/or performed by the Ferozi Tech shall be in substantial conformity to the provided scope of work document supplement to the agreement.

10. Customer is required to respond to updates and questions and comments provided by Ferozi Tech as early as possible taking no later than 2 business days to assure the project in conformity. Customer when confirms the content as final will not be allowed to make any modification until the completion of the project, which will be subjected to a charge or Ferozi Tech's extension of service as a compliment.

11. Ferozi Tech shall use reasonable efforts to meet the successful completion of the project. It is contemplated by the customer that the final completion and the delivery date shall be in accordance with the revisions requested and response time between communications from the customer. However, customer itself acknowledges that any changes or deviations in the specifications, site plan, prototype, graphics, codes, or any other elements of the project, and delays in its responsibilities include delivering Content, Sitemap, plans, information, access credentials, and not promptly reviewing and commenting on provided update will lead to the delays on the completion schedule. Such time delays will not be considered segment of project delivery time setting Ferozi Tech exclusively free from being responsible of delay in project completion.

12. Customer acknowledges and agree that all expenses associated with the development process, including but not limited to payment of any licensing fee, software procurement, costs of purchasing, graphics, photographs, and other content, materials, supplies, and all other elements of the project shall be absorbed by the customer and that the planning, designing, performing, documentation, development fee payable to Ferozi Tech shall not cover such expenses.

13. In the event that any Agreement is terminated by its terms prior to completion of the project, Ferozi Tech shall be compensated only for such work that has been completed prior to the date of termination. Upon termination hereof, Ferozi Tech shall deliver any partially completed work to the customer. In case where the customer terminates the agreement between two payment milestones, customer will be liable to pay the 50% amount of the latter to Ferozi Tech.

14. Ferozi Tech agrees to grant to Customer an exclusive, irrevocable, royalty free license to use, copy and modify any elements of the Material specifically created for the customer as part of the Services. In respect to the Material specifically created for customer as part of the services, Ferozi Tech assigns full title guarantee to the customer and any all of the copyright, other intellectual property rights and any other data or material used or subsisting in the Material whether finished or unfinished. If any third party intellectual property rights are used in the Material Ferozi Tech shall ensure that it has secured all necessary consents and approvals to use such third party intellectual property rights for Ferozi Tech and customer. For the purposes of this Clause, "Material" shall mean the materials, in whatever form, used by Ferozi Tech to provide the Services and the products, systems, programs or processes, in whatever form, produced by Ferozi Tech pursuant to the supplemental agreements made with the customer.
